IN NO EVENT SHALL COSTA VIDA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO COSTA VIDA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).


10. Indemnification

You agree to defend, indemnify, and hold harmless Costa Vida and its officers, directors, employees, shareholders, agents, affiliates, licensors, and service providers from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • Your use of or access to the Site or services;
  • Your violation of these Terms;
  • Your violation of any applicable law, regulation, or third-party right, including intellectual property rights or privacy rights;
  • Any User Content you submit, post, or transmit through the Site;
  • Your negligence or willful misconduct;

Costa Vida reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defenses. EXCEPT AS OTHERWISE PROVIDED HEREIN, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR THE USE OF THE SITE OR SERVICES (COLLECTIVELY, "DISPUTES") WILL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT THAT EITHER PARTY MAY BRING AN INDIVIDUAL CLAIM IN SMALL CLAIMS COURT IF IT QUALIFIES.

Arbitration shall be conducted in accordance with the rules of the American Arbitration Association ("AAA") Consumer Arbitration Rules, as currently in effect and available at www.adr.org. The arbitration shall be conducted in English, in the United States. The arbitrator shall have authority to award any remedies that would be available in a court of law.

You acknowledge and agree that you are waiving your right to a trial by jury and your right to participate in class action litigation with respect to any Disputes covered by this arbitration agreement.

12.3 Class Action Waiver

YOU AND COSTA VIDA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR MULTI-PLAINTIFF ACTION OR PROCEEDING. Unless both you and Costa Vida agree in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.


13. Term and Termination

13.1 Term

These Terms are effective as of the date first listed above and shall remain in full force and effect for as long as you access or use our Site or services, unless earlier terminated in accordance with this section.

13.2 Termination by You

In such circumstances, our obligations shall be suspended for the duration of the force majeure event, and we shall endeavor to resume normal operations as soon as reasonably practicable.


18. Entire Agreement
